1. Introduction and Acceptance of Terms
Welcome to the Universal Credit Ecosystem ("UCES", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, the UCES platform, our educational materials, and community forums (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Services.
2. Nature of Our Services
UCES is an education, community, support, and intelligence ecosystem designed for individuals operating within the supported-housing exempt accommodation framework.
Important Disclaimer: UCES is strictly an education and intelligence provider. We do not provide financial advice, legal advice, guaranteed income, or operational property management services. Any financial figures, case studies, or revenue projections presented within our materials are illustrative only and do not constitute a guarantee of future earnings.
3. Account Registration and Security
To access certain features of the Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain and promptly update your account information.
- Maintain the security and confidentiality of your login credentials.
- Notify us immediately of any unauthorised use of your account or any other breach of security.
You are responsible for all activities that occur under your account.
4. Membership, Fees, and Payments
4.1. Fees
Access to premium areas of the UCES platform is subject to payment of applicable membership or sign-up fees (e.g., the £2,500 + VAT HSP sign-up fee or £5,000 + VAT Franchisee fee). All fees are clearly stated prior to purchase and are non-refundable except as expressly provided in these Terms or required by law.
4.2. Payment Processing
UCES handles only its own joining and subscription fees. We use third-party payment processors (such as Stripe) to handle transactions securely. By providing payment information, you authorise us and our payment processors to charge the applicable fees to your designated payment method.
Note: Operational rent payments and percentage splits related to property management are handled entirely separately by HS Platform via Stripe Connect and are not governed by these Terms.
4.3. Auto-Renewal and Cancellation
If your membership includes a recurring subscription, it will automatically renew at the end of each billing cycle unless you cancel it before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support@uces.uk.
4.4. Statutory Cooling-Off Period
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, if you are purchasing as a consumer within the UK, you have the right to cancel your purchase within 14 days without giving any reason. However, if you expressly request to begin accessing digital content or services before the end of the 14-day period, you acknowledge that you will lose your right to cancel once the download or streaming of the digital content has begun.
5. Acceptable Use and Community Guidelines
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services in any way that violates any applicable local, national, or international law or regulation.
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.
- Post, upload, or distribute any content that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
- Attempt to gain unauthorised access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
6. Intellectual Property Rights
6.1. UCES Content
All content, frameworks, methodologies, intelligence tools, and materials provided on the UCES platform (collectively, "UCES Content") are the exclusive intellectual property of UCES LTD or its licensors.
Your membership grants you a limited, non-exclusive, non-transferable, and revocable licence to access and use the UCES Content strictly for your personal business use. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any UCES Content without our express written permission.
6.2. User-Generated Content
If you post or submit content to our community forums or platform ("User Content"), you grant UCES LTD a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to use, reproduce, distribute, prepare derivative works of, and display that User Content in connection with the operation of the Services. You represent and warrant that you own or have the necessary rights to grant this licence.
7. Third-Party Links and Services
The Services may contain links to third-party websites, applications, or services (such as GoHighLevel or HS Platform) that are not owned or controlled by UCES LTD. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.
8. Limitation of Liability
To the maximum extent permitted by applicable law, UCES LTD, its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Services.
- Any conduct or content of any third party on the Services.
- Any content obtained from the Services.
- Unauthorised access, use, or alteration of your transmissions or content.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
9. Indemnification
You agree to defend, indemnify, and hold harmless UCES LTD and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to solicitor's fees), resulting from or arising out of a) your use and access of the Services, by you or any person using your account and password; b) a breach of these Terms; or c) User Content posted on the Services.
10. Termination
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
12. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.
